These Terms of Service (“Terms”) govern your access to and use of this website, operated by GradeCircle Inc. (“we,” “us,” or “our”). By accessing the site, submitting a request, or contacting us through it, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the site.

Eligibility and acceptance

You must be at least 18 years old and able to form a binding contract to use this site. By using it you represent that you meet these requirements and that any information you provide is accurate and your own, or that you are authorized to provide it.

What this service is

Your City Pros is a lead-generation and referral service. We are not a restoration contractor and we do not perform restoration, repair, or remediation work. We connect you with independent, licensed restoration providers who are independent businesses solely responsible for the services they perform and for their own licensing, insurance, pricing, and conduct.

No professional advice; no guarantee

Content on this site is general information only and is not professional, legal, insurance, or engineering advice. We do not guarantee that a provider will be available, will accept or respond to your request, or will achieve any particular outcome, price, quality, or response time.

Text message (SMS) program

If you provide a mobile number and agree to receive text messages, you consent to receive SMS messages from us and the provider(s) we refer you to about your request and related follow-up. Message frequency varies. Message and data rates may apply. Consent to receive texts is not a condition of any purchase.

Reply STOP to any message to opt out at any time; you will receive a final confirmation and no further messages. Reply HELP for help, or contact us at the email below. Carriers are not liable for delayed or undelivered messages. Supported carriers and features may change.

Acceptable use

You agree to use the site only for lawful purposes and not to: provide false information; submit another person's information without authorization; interfere with or disrupt the site; attempt to gain unauthorized access; scrape or harvest data; or use the site to send unsolicited communications. We may suspend or terminate access for any violation.

Third-party providers

We do not employ, control, supervise, endorse, or warrant the work of the providers we refer you to. Any agreement, pricing, workmanship, warranty, licensing, insurance, or dispute is strictly between you and that provider. You are responsible for verifying a provider's licensing and insurance before engaging them.

Intellectual property

The site and its content — text, graphics, logos, and design — are owned by GradeCircle Inc. or its licensors and are protected by intellectual-property laws. We grant you a limited, revocable, non-exclusive license to use the site for its intended purpose. You may not copy, modify, distribute, or create derivative works without our permission.

Disclaimer of warranties

The site and the referral service are provided "as is" and "as available," without warranties of any kind, express or implied, including the implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement, to the fullest extent permitted by law. We do not warrant that the site will be uninterrupted, secure, or error-free.

Limitation of liability

To the fullest extent permitted by law, GradeCircle Inc. and its affiliates, officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any property damage, loss, or injury arising from services performed by a third-party provider or from your use of the site. Our total liability for any claim relating to the site will not exceed one hundred U.S. dollars ($100). Some jurisdictions do not allow certain limitations, so some of these may not apply to you.

Indemnification

You agree to indemnify, defend, and hold harmless GradeCircle Inc. and its affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of your use of the site, your violation of these Terms, or your dealings with any provider we refer you to.

Dispute resolution; binding arbitration; class-action waiver

Please read this section carefully — it affects your rights. Except where prohibited by law, you and we agree that any dispute arising out of or relating to the site or these Terms will be resolved by binding, individual arbitration administered by a recognized arbitration provider under its consumer rules, rather than in court, except that either party may bring an individual claim in small-claims court.

You and we waive any right to a jury trial and agree that claims may be brought only in an individual capacity, and not as a plaintiff or class member in any purported class, collective, or representative proceeding. If this class-action waiver is found unenforceable, the remainder of this arbitration section will be void.

You may opt out of this arbitration agreement within 30 days of first accepting these Terms by emailing us at help@example.com with your name and a statement that you opt out; opting out will not affect any other part of these Terms.

Governing law and venue

These Terms are governed by the laws of State of Florida, without regard to its conflict-of-laws rules. To the extent any dispute is not subject to arbitration, it will be brought exclusively in the state or federal courts located in State of Florida, and you consent to their jurisdiction.

Miscellaneous

If any provision of these Terms is held unenforceable, the remaining provisions will remain in effect. Our failure to enforce a provision is not a waiver of it. You may not assign these Terms without our consent; we may assign them in connection with a corporate transaction. These Terms, together with the Privacy Policy and Disclosures, are the entire agreement between you and us regarding the site. We are not liable for delays or failures caused by events beyond our reasonable control.

Changes and contact
